Terms of Service
These Terms of Service ("Terms") govern your access to and use of Prop Lens (the "Service"), including our websites, applications, and related services. By accessing or using the Service, you agree to these Terms.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization and its users as applicable. These Terms should be read together with our Privacy Policy.
Description of the Service
Prop Lens is a production-focused collaboration and project management platform. The Service may include workspaces, organizations, projects, tasks, calendars, asset libraries (including files and metadata such as suppliers, categories, and locations), invitations, messaging or notifications as we provide them, and related features. We may modify, add, or discontinue features with reasonable notice where practicable.
Accounts and eligibility
You must provide accurate registration information and keep your account credentials secure. You are responsible for activity under your account, except where caused by our negligence or a breach on our side. You must be legally able to enter into these Terms in your jurisdiction. You may connect third-party accounts (such as Google or GitHub) where we support them; your use of those services is also subject to the providers' terms and privacy policies.
Acceptable use
You agree not to:
- Use the Service in violation of law or in a way that infringes others' rights;
- Upload or distribute malware, attempt unauthorized access to systems or data, or disrupt or overload the Service;
- Scrape, mine, or harvest data from the Service except through documented interfaces we expressly permit;
- Misrepresent your identity, access another user's account without permission, or bypass access controls;
- Use the Service to send spam or deceptive communications, or to store or distribute unlawful or highly offensive material where prohibited.
We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to the Service or other users.
Your content
You retain rights to content you submit to the Service ("Customer Content"). You grant us a non-exclusive, worldwide license to host, store, reproduce, process, transmit, and display Customer Content solely as needed to operate, secure, and improve the Service and as you instruct. You represent that you have the rights needed to grant this license and that Customer Content does not violate applicable law or third-party rights.
Third-party services
The Service may integrate with or link to third-party services. We are not responsible for third-party services. Your use of those services is at your own risk and subject to their terms.
Intellectual property
The Service, including software, branding, and documentation, is owned by us and our licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights.
Confidentiality and beta features
If we provide you with non-public information about the Service or label features as beta or preview, you agree not to disclose that information without our consent, except as required by law.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PROP LENS NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100). NOTHING IN THESE TERMS LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR OTHER LIABILITY THAT CANNOT BE LIMITED BY LAW.
Indemnity
You will defend and indemnify us and our affiliates, directors, employees, and agents against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, Customer Content, or violation of these Terms, except to the extent caused by our breach of these Terms.
Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for violations of these Terms, risk to the Service, non-payment (if applicable), or if we cease offering the Service. On termination, your right to use the Service ends. We may delete data in line with our Privacy Policy and retention practices.
Governing law and disputes
These Terms are governed by the laws applicable in the jurisdiction where Prop Lens operates, without regard to conflict-of-law rules. If you are a consumer, mandatory consumer protection laws in your country may apply regardless of this choice of law.
Changes
We may modify these Terms by posting an updated version and updating the "Last updated" date. If changes are material, we will provide notice as required by law or through the Service. Continued use after the effective date constitutes acceptance of the revised Terms.
Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
